Terms of Service

Introduction
These Terms of Service (“Terms”) govern your access to and use of the NexusWise website, web application, SMS messaging tools, lead capture forms, automation features, and related services (collectively, the “Services”) provided by [NexusWise legal entity] (“NexusWise,” “we,” “us,” or “our”).
NexusWise provides SMS communication tools for private driving businesses, transportation providers, chauffeurs, car services, and similar businesses to communicate with customers and prospective customers about inquiries, bookings, ride details, trip updates, follow-ups, and related service communications.
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
Ordering Documents and Priority
If you execute an order form, service order, subscription agreement, or other written agreement that references these Terms (each an “Ordering Document”), that Ordering Document will govern your subscription, fees, service scope, plan limits, and any business-specific terms. If there is a conflict between an Ordering Document and these Terms, the Ordering Document will control solely with respect to the subject matter of that Ordering Document.
Relationship to Signed Agreements
If you and NexusWise have entered into a separately signed written agreement governing your use of the Services, that agreement will control to the extent it conflicts with these Terms.
Use of the Services
You may use the Services only for lawful business purposes and in accordance with these Terms. You are responsible for all activity that occurs through your account, including messages sent by your business, employees, contractors, representatives, or systems connected to the Services.
You agree not to use the Services to send unlawful, deceptive, fraudulent, abusive, harassing, or unauthorized messages. You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, regulations, carrier requirements, and industry standards, including the Telephone Consumer Protection Act (“TCPA”), CTIA guidelines, applicable state privacy and telemarketing laws, and messaging provider policies.
SMS Messaging Program
NexusWise enables private driving businesses to send and receive SMS messages with customers and prospective customers. Messages may include responses to website inquiries, booking conversations, ride confirmations, driver or vehicle information, trip updates, appointment reminders, customer support, and related transactional or conversational messages.
Message frequency may vary depending on the nature of the inquiry, booking, or customer relationship. Message and data rates may apply.
Carriers are not liable for delayed or undelivered messages.
SMS Consent
By providing a phone number through a NexusWise-powered form, website, booking flow, or other opt-in method, and by checking an SMS consent box or otherwise providing express consent, the recipient agrees to receive text messages from the applicable driving business using NexusWise.
Consent to receive SMS messages is not a condition of purchasing goods or services unless otherwise clearly stated in a specific booking or service flow where SMS is required to provide the requested service.
Businesses using NexusWise are responsible for obtaining all required consents before sending SMS messages and for keeping records of consent where required.
Opt-Out Instructions
Recipients may opt out of SMS messages at any time by replying STOP.
After replying STOP, the recipient may receive one additional message confirming that they have been unsubscribed. After that, no further SMS messages will be sent unless the recipient opts in again.
Help Instructions
Recipients may request help at any time by replying HELP.
Recipients may also contact NexusWise at [support email] or contact the driving business that sent the message.
Customer Responsibilities
If you are a business using NexusWise, you agree that you will obtain proper consent before sending SMS messages, clearly identify your business in messages where appropriate, honor opt-out requests promptly, avoid sending spam, misleading, or unauthorized messages, provide accurate business, campaign, and contact information, use the Services only for legitimate transportation, booking, support, and customer communication purposes, and comply with all applicable laws, carrier rules, and messaging provider requirements.
You are solely responsible for the content of messages sent through your account and for your relationship with your customers and message recipients.
Prohibited Uses
You may not use the Services to send or facilitate messages involving unlawful, deceptive, harmful, or prohibited content, including but not limited to spam, phishing, fraud, harassment, hate speech, threats, illegal goods or services, or content that violates applicable carrier or messaging provider rules.
NexusWise may suspend or terminate access to the Services if we believe your use violates these Terms, applicable law, carrier requirements, or messaging provider policies.
No Emergency Use
The Services are not intended for emergency communications. Do not use NexusWise to contact emergency services, request urgent medical assistance, report dangerous conditions, or send communications where failure or delay could result in harm.
Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify NexusWise promptly if you believe your account has been accessed without authorization.
Fees and Payment
Fees, billing terms, usage limits, and payment obligations will be described in the applicable Ordering Document, subscription plan, invoice, or written agreement between you and NexusWise.
Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you agree to our Privacy Policy.
NexusWise does not sell SMS opt-in consent data. SMS consent and phone numbers collected for messaging purposes are used to provide the messaging services requested and are not sold to third parties.
Service Availability
We aim to provide reliable Services, but we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. SMS delivery may depend on third-party providers, wireless carriers, recipient devices, and other systems outside our control.
Third-Party Services
The Services may rely on third-party providers, including telecommunications, messaging, hosting, analytics, and payment providers. Your use of the Services may be subject to third-party terms, policies, and technical limitations.
Intellectual Property
NexusWise and its licensors own all rights, title, and interest in the Services, including software, designs, workflows, branding, and related materials. These Terms do not grant you ownership of the Services.
You retain ownership of your business data and message content, subject to the rights necessary for NexusWise to provide, maintain, secure, and improve the Services.
Disclaimer of Warranties
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, NexusWise disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, NexusWise will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost data arising out of or related to your use of the Services.
Indemnification
You agree to defend, indemnify, and hold harmless NexusWise from and against any claims, damages, liabilities, losses, costs, and expenses arising from your use of the Services, your message content, your failure to obtain required consent, your violation of applicable law, or your breach of these Terms.
Suspension and Termination
We may suspend or terminate your access to the Services if we believe you have violated these Terms, applicable law, carrier rules, messaging provider policies, or if your use creates risk for NexusWise, our providers, or message recipients.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
